By accessing and using the Midwest Medical Reviews platform ("Service," "Platform," or "System"), operated by Midwest Medical Reviews PLLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). Midwest Medical Reviews provides a secure platform that connects legal professionals, healthcare organizations, and insurance companies ("Clients") with licensed medical professionals ("Consultants") for the purpose of medical case review, expert analysis, and professional medical opinions.
2.1 Service Components
- Secure case submission and management system
- Medical consultant matching and assignment
- Document sharing and collaboration tools
- Timesheet and billing management
- Report generation and delivery
- Communication and messaging platform
2.2 Service Limitations
- We are a technology platform facilitator, not a medical practice
- We do not provide direct medical advice or treatment recommendations
- All medical opinions are provided by independent licensed consultants
- We do not guarantee specific outcomes or consultant availability
3. User Accounts and Registration
3.1 Account Creation
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You are responsible for all activities that occur under your account
3.2 User Categories
- Clients: Legal professionals, healthcare organizations, insurance companies
- Consultants: Licensed medical professionals providing expert review services
- Administrators: Platform management and oversight personnel
3.3 Professional Requirements
- Consultants must maintain current professional licenses and credentials
- Consultants must carry appropriate professional liability insurance
- All users must comply with applicable professional standards and regulations
4. Acceptable Use Policy
4.1 Permitted Uses
- Legitimate medical case review and expert consultation
- Professional collaboration and communication
- Secure document sharing and case management
- Educational and training purposes related to medical review
4.2 Prohibited Uses
- Uploading false, misleading, or fraudulent information
- Violating patient privacy or HIPAA regulations
- Using the platform for direct patient care or emergency medical situations
- Attempting to circumvent security measures or access unauthorized areas
- Reverse engineering, decompiling, or creating derivative works
- Using automated systems to access the platform without authorization
- Harassing, threatening, or inappropriate communication with other users
5. Medical and Professional Standards
5.1 Medical Review Standards
- All medical reviews must be based on accepted medical standards
- Consultants must provide objective, evidence-based opinions
- Reviews must be conducted within the consultant's area of expertise
- Consultants must disclose any potential conflicts of interest
5.2 Professional Conduct
- All users must maintain professional behavior and communication
- Confidentiality must be maintained at all times
- Users must comply with applicable professional codes of conduct
- Any suspected fraud or misconduct must be reported immediately
5.3 No Doctor-Patient Relationship
Important: The use of this platform does not create a doctor-patient relationship between consultants and any patients whose cases are reviewed. The platform is designed for expert opinion and case review purposes only, not for direct patient care.
6. Privacy and Data Protection
Your privacy and the security of Protected Health Information (PHI) are paramount to our operations.
6.1 HIPAA Compliance
- We maintain full compliance with HIPAA Privacy and Security Rules
- All PHI is encrypted in transit and at rest using AES-256 encryption
- Access to PHI is strictly controlled and monitored
- Business Associate Agreements are in place with all service providers
6.2 User Responsibilities
- Users must only upload PHI that is necessary for the requested review
- Users must ensure they have proper authorization to share PHI
- Users must report any suspected security incidents immediately
- Users must comply with their organization's privacy policies

7. Payment Terms and Billing
7.1 Service Fees
- Fees are established based on case complexity, consultant expertise, and time requirements
- All fees are clearly disclosed before service commencement
- Additional fees may apply for expedited services or complex cases
- Platform fees may be charged separately from consultant fees
7.2 Payment Processing
- Payment is due within 30 days of invoice date unless otherwise specified
- Late payments may incur interest charges at 1.5% per month
- Accounts more than 60 days past due may result in service suspension
- All payments must be in U.S. dollars unless otherwise agreed
7.3 Consultant Compensation
- Consultants are paid according to their individual service agreements
- Payment processing typically occurs within 14 days of completed work
- Consultants are responsible for their own tax obligations
8. Intellectual Property Rights
8.1 Platform Ownership
- The platform, including software, design, and proprietary methodologies, is owned by Midwest Medical Reviews PLLC
- Users receive a limited, non-exclusive license to use the platform
- This license may be revoked at any time for violation of these Terms
8.2 User Content
- Users retain ownership of content they upload, subject to the license granted to us
- By uploading content, you grant us a license to use, store, and process it as necessary to provide services
- Consultant reports and opinions remain the intellectual property of the creating consultant
8.3 Confidentiality
- All case information and consultant reports are confidential
- Users may not share or distribute proprietary platform features or methodologies
- Confidentiality obligations survive termination of these Terms
9. Limitation of Liability and Disclaimers
9.1 Service Disclaimers
- The platform is provided "as is" without warranties of any kind
- We do not guarantee uninterrupted or error-free service
- We are not responsible for the accuracy of consultant opinions
- We do not guarantee specific outcomes or consultant availability
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim
- We shall not be liable for indirect, incidental, consequential, or punitive damages
- We are not liable for damages arising from consultant negligence or errors
- We are not liable for business interruption, lost profits, or data loss
9.3 Indemnification
You agree to indemnify and hold harmless Midwest Medical Reviews PLLC from claims arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
10. Termination
10.1 Termination by You
- You may terminate your account at any time with 30 days' written notice
- You remain responsible for all fees incurred prior to termination
- You may request data export prior to account closure
10.2 Termination by Us
- We may terminate accounts for violation of these Terms
- We may suspend service immediately for security or legal reasons
- We may terminate service with 30 days' notice for operational reasons
10.3 Data Retention After Termination
- We will retain data as required by law and professional standards
- Medical case files may be retained for up to 7 years
- You may request data deletion after required retention periods
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State where Midwest Medical Reviews PLLC is incorporated, without regard to conflict of law principles.
11.2 Dispute Resolution Process
- Good Faith Negotiation: Parties will attempt to resolve disputes through good faith negotiation for 30 days
- Mediation: If negotiation fails, disputes will be subject to binding mediation
- Arbitration: Unresolved disputes will be settled through binding arbitration
- Jurisdiction: Any legal proceedings must be filed in courts located in our principal place of business
11.3 Class Action Waiver
You agree not to participate in class action lawsuits against us. Disputes must be resolved individually.
12. General Provisions
12.1 Modifications to Terms
- We may modify these Terms at any time with 30 days' notice
- Continued use after modifications constitutes acceptance
- Material changes will be highlighted in notifications
12.2 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, cyber attacks, or pandemic-related restrictions.
12.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
12.4 Assignment
We may assign these Terms in connection with mergers, acquisitions, or asset sales. You may not assign your rights without our written consent.
